Terms of Service

Welcome to RAI Solutions. These Terms of Service ("Terms") govern your use of our website at raisolutions.ai and our suite of products including Unpaid, SnapExpenses, and RAI Social ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

RAI Solutions is operated by Renzo Will (ABN 78 190 199 051), located in Queensland, Australia.

1. Services Description

RAI Solutions provides tools for small businesses, including:

• Unpaid: Automated invoice delivery, payment reminders, reply handling, and payment verification
• SnapExpenses: Receipt scanning and expense tracking for US real estate agents
• RAI Social: Social media content creation and scheduling (coming soon)

The specific features available to you depend on your subscription tier and the product you are using.

2. Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activities that occur under your account

3. Subscription and Payment

Free Trial: All Unpaid plans include a 14-day free trial with full access to all features. No credit card is required to start a trial.

Unpaid prices are in Australian Dollars (AUD) and include GST where applicable. SnapExpenses prices are in US Dollars (USD).

Billing: Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless cancelled.

Payment Processing: Payments are processed securely through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.

Failed Payments: If a payment fails, we will attempt to charge your payment method again. If payment cannot be collected, your access to the Services may be suspended.

4. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation will take effect at the end of your current billing period.

No Lock-in Contracts: There are no long-term commitments. You are free to cancel at any time without penalty.

Refunds: We do not provide refunds for partial months of service. If you cancel, you will continue to have access until the end of your current billing period.

Exceptions: Refund requests for exceptional circumstances will be considered on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to use our Services to:

• Create, publish, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Spread misinformation or engage in deceptive practices
• Spam or send unsolicited communications
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use the Services for any illegal or unauthorised purpose

We reserve the right to suspend or terminate accounts that violate these guidelines.

6. Content Ownership and Licence

Your Content: You retain ownership of any content you provide to us (business information, invoices, receipts, images, etc.). By using our Services, you grant us a licence to use this content to provide the Services to you.

Generated Content: Content generated by our AI tools for your business is owned by you and may be used for your business purposes.

Our Platform: RAI Solutions and its licensors own all rights to the platform, software, and underlying technology. You are granted a limited, non-exclusive licence to use the Services during your subscription.

7. Third-Party Platform Terms

When you connect third-party accounts to our Services (e.g., Xero, QuickBooks, social media platforms), you must comply with the terms of service of those platforms. We are not responsible for any actions taken by third-party platforms against your accounts.

8. AI-Generated Content Disclaimer

Our products use artificial intelligence to power features including invoice reminders, receipt processing, and content generation. Important:

• You are solely responsible for reviewing and approving any AI-generated communications before they are sent
• AI-processed data may occasionally contain errors or require manual verification
• You are responsible for ensuring all communications align with your business requirements and applicable laws
• RAI Solutions is not liable for any actions taken based on AI-generated outputs

9. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may occasionally need to perform maintenance or updates that temporarily affect availability. We will endeavour to provide notice of planned maintenance where possible.

10. Limitation of Liability

To the maximum extent permitted by Australian law:

• Our Services are provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of the Services is limited to the amount you paid us in the 12 months preceding the claim
• We are not responsible for any loss of business, revenue, or data arising from your use of the Services

Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

11. Indemnification

You agree to indemnify and hold harmless RAI Solutions, its owner, and affiliates from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.

13. Termination

We may suspend or terminate your access to the Services if you breach these Terms or for any other reason at our discretion. Upon termination, your right to use the Services will immediately cease.

14. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RAI Solutions regarding your use of the Services.
